On February 10, 2023, the Claims Administrator conducted the initial distribution of settlement funds to eligible claimants, as approved by the order of the Court. The second distribution occurred in July 2024. Subsequent distributions will occur on a rolling basis.

The Parties have settled the Action for $18,250,000 in cash (the “Settlement”) for the
benefit of the Settlement Class.
On April 13, 2022, the Court held a hearing to consider final
approval of the Settlement and related matters.
Following the hearing, the Court entered a final Judgment approving the
Settlement, an Order approving the Plan of Allocation for the proceeds of the
Settlement, and an Order awarding attorney's fees and litigation expenses.
The Settlement Class consists of:
all persons who purchased Merit common stock from February
26, 2019 through October 30, 2019, inclusive (the “Class Period”), and who were
damaged thereby.
Excluded from the Settlement
Class are certain persons and entities (see paragraph 25 of the Notice) or
those who requested exclusion pursuant to the instructions set forth in the
Notice.

The claims administration concluded in November 2022. We filed the distribution motion on November 29, 2022. On January 5, 2023 the Court entered the Order Approving the Distribution Plan. The initial distribution occurred on February 10, 2023. The second distribution occurred in July 2024. Subsequent distributions will occur on a rolling basis provided that net settlement funds are available.
